Several starters on both sides played in the fourth quarter, including Grizzlies forward Pau Gasol, who collected nine points and five rebounds in 34 minutes.
"We've worked very well this week," Gasol said. "It's great to see the team playing well; we're playing at a good level. It's still too soon, but we should be happy."
Jason Williams, playing his first game against his former club, had only seven points and one assists in 38 minutes for Miami.
Wade sparked the Miami offense with 19 points, while O'Neal added 12.
"We've only been together for over a week and we don't expect miracles, I hope nobody expects miracles, they don't happen overnight," Wade said. "That's why you play preseason, so you can see what works and get a feel for each other. And that's all we were trying to do."
Gary Payton did not play for the Heat because of a stomach virus.
Lorenzen Wright sat out because of sprained right ankle - opening the way for Tsakalidis to start at center. Rookie Lawrence Roberts was also not in the game for Memphis because of a bruised left knee.
